A solid employment contract should include: (1) job title and description, (2) compensation - salary, bonuses, equity, and benefits, (3) start date and employment type (full-time, part-time, at-will), (4) work location and remote work policy, (5) confidentiality and NDA obligations, (6) non-compete and non-solicitation clauses, (7) IP ownership and work-for-hire provisions, and (8) termination conditions and notice periods.
An at-will employment agreement allows either the employer or employee to terminate the relationship at any time, for any reason, with or without notice (subject to legal protections). A fixed-term agreement runs for a defined period - e.g., 12 months - after which it expires or must be renewed. Fixed-term contracts provide more certainty but less flexibility; at-will is more common in the US.
It depends on the jurisdiction. In the US, enforceability varies by state - California largely bans them, while states like Florida broadly enforce them. Courts typically assess reasonableness of scope, duration, and geographic area. In the UK and EU, non-competes are enforceable if reasonable. Always tailor non-compete clauses to your jurisdiction. A work-for-hire (or IP assignment) clause establishes that any intellectual property created by the employee in the course of their employment belongs to the employer. Without this clause, employees may retain IP rights over work they created, even while being paid. This is especially critical for software, design, content, and product roles.
Many employment agreements include confidentiality provisions, but a standalone NDA is stronger and more detailed. For roles with significant access to trade secrets, customer data, or proprietary technology, a separate Employee NDA is recommended. It survives termination, can cover pre-employment disclosures, and is easier to enforce as a standalone document.
