A manufacturing agreement governs the production of custom goods to the buyer's specifications - the manufacturer creates products uniquely for the buyer. A supply agreement covers the ongoing purchase of existing, off-the-shelf products from a supplier. Manufacturing agreements typically include IP, tooling, and quality provisions; supply agreements focus more on price, volume, lead time, and exclusivity terms.
Ownership of tooling and molds depends on who paid for them. If the buyer funds custom tooling, the agreement should explicitly state the buyer retains ownership and can retrieve the tooling upon termination.
